A global financial services firm with a strong presence in retail, commercial, and investment banking is seeking a Company Secretary / Governance Professional to support corporate governance activities for its regulated entities in the UK and Ireland.
Key Responsibilities
- Serve as Company Secretary to assigned entities and committees in the region
- Advise board and committee chairs on governance responsibilities and regulatory obligations
- Ensure effective board/committee operations, including meeting scheduling, agenda setting, minute-taking, and action tracking
- Draft and manage resolutions, notices, certificates, and other corporate documentation
- Maintain governance frameworks, mandates, and board calendars
- Facilitate information flow between management and boards/committees
- Monitor and interpret relevant legal and regulatory developments affecting governance
- Contribute to local governance improvement initiatives and projects
Key Requirements
- Chartered Governance Professional (or equivalent qualification) preferred
- Proven company secretarial experience supporting regulated subsidiaries and governance structures
- Familiarity with UK and EU financial services regulatory environments
- Strong interpersonal skills and confidence engaging with senior stakeholders
- High level of discretion and professionalism
- Strong organisational and written communication skills
- Ability to manage multiple priorities and meet deadlines under pressure
- Experience with digital board portals (e.g. Diligent) is advantageous
